Nevada corporations may issue stock for capital, services, personal property, or real estate, including leases and options.  The directors may determine the value of any of these transactions and their decision is final.

CORPORATE FEES

Filing Articles of Incorporation in the office of the Secretary of State establishes corporations. Thereafter, it is necessary only to file certificates of amendment to articles; certificates of reduction of capital; merger agreements; and lists of corporate officers, directors and resident agents within 60 days after incorporation and annually thereafter on the anniversary month. The fee for filing Articles of Incorporation or agreements of consolidation providing for shares is provided in the following schedule:

1. Filing of Annual List of Officers, Directors, and designation of Resident Agent: $85

2. Filing the 60-day List of Officers, Directors, and designation of Resident Agent: $85

3. For a default on the above, there shall be an added fee of: $15

4. The fee for filing Articles of Incorporation or agreement of consolidation providing for shares:

  • $25,000 or less: $85
  • $25,001 and not over $75,000: $175
  • $75,001 and not over $200,000: $225
  • Over $200,001 and not over $500,000: $325
  • Over $500,001 and not over $1,000,000: $425
  • For the first $1,000,000: $425
  • For each additional $500,000 or fraction thereof: $225
  • Maximum fee: $25,000
  • Foreign corporations pay the same fees as Nevada corporations.
